Item 8.01. Other Events.
On January 31, 2025, VanEck Bitcoin ETF (the “Trust”) announced a four-for-one forward stock split (the “Stock Split”) of the Trust’s common shares of beneficial interest (“Shares”). The Shares began trading on a split-adjusted basis at market open on February 14, 2025. As a result of the Stock Split, every one Share that was issued and outstanding was automatically split into four Shares that are issued and outstanding. The Stock Split increased the number of Shares outstanding from 12,800,000 Shares to 51,200,000 Shares.
