Phoenix VCT plc announces that on 5 April 2007 the Company  purchased
for cancellation 52,345  Ordinary Shares of  10p each at  a price  of
108p per share.

The issued share capital  of the Company  is now 10,598,505  Ordinary
Shares and 5,228,385 C Shares.
