Law Offices of Howard G. Smith announces that it is
investigating potential claims against the board of directors of
California Pizza Kitchen, Inc. (“CPK” or the “Company”)
(NASDAQ:CPKI) related to the Company’s agreement to be acquired by
an affiliate of Golden Gate Capital. The proposed transaction is
valued at approximately $470 million.
Under the terms of the definitive agreement entered into by the
parties, CPK shareholders will receive $18.50 in cash for each
share they own of the Company’s common stock. Under the terms of
the agreement, an affiliate of Golden Gate Capital will commence a
tender offer for all of the outstanding shares of the Company no
later than June 8, 2011. The transaction is expected to be
completed in the third quarter of 2011. The proposed transaction
was unanimously approved by the Company’s board of directors. The
investigation concerns possible breaches of fiduciary duty and
other violations of law related to approval of the proposed
transaction by CPK’s board of directors.
