Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 6, 2025, Hoo Swee Guan resigned from his position as Executive Director of Graphjet Technology (the “Company”), effective immediately. Also on January 6, 2025, Wong Kok Seong and Doris Wong Sing Ee each resigned from their positions as Independent Director of the Company, effective immediately.

As a result of Wong Kok Seong’s resignation as an Independent Director, he will also be resigning from his position as a member of the Audit Committee, the Remuneration Committee, and Nominating and Corporate Governance Committee of the Company.

Each of directors’ decision to resign from their positions is not the result of any disagreement with the Company’s operations, policies, or practices.
