Item 8.01. Other Events.

 

On August 27, 2019, the Board of Directors of mPhase Technologies, Inc., a New Jersey corporation (the “Company”), approved the filing of an amendment (the “Amendment”) to the Company’s Certificate of Incorporation to increase the authorized shares of common stock from 25 million shares to 100 million shares pursuant to Section 14A:7-2(4) of the Business Corporation Law of the State of New Jersey. The Amendment was filed with the State of New Jersey on September 4, 2019.
