Following the open offer and capital reorganisation recently undertaken by the
Company, Victory has today been informed of the shareholdings below:

Directors Stephen Murphy and Ros Simmons took up their rights in full under the
open offer and now hold 8,950 and 61 ordinary shares respectively in the capital
of the Company. These holdings represent 0.08% and less than 0.01% of the issued
share capital of the Company.

Following the take up of 5,759,952 shares by Virgin Retail Investment Holdings
Limited pursuant to its underwriting commitment, this company holds 51.01% of
the issued share capital of the Company. Virgin Retail Holdings Limited did not
take up any of its entitlement under the open offer and holds 4,288,683 shares
representing 37.98% of the issued share capital of Victory. This brings the
total shareholding of Virgin Group companies in Victory to 10,048,635 shares
representing 88.99% of the issued share capital of the Company.
