Signing of Supplemental Bond Trust Deed dated 11 June 2012

Genfinance II PLC (the "Company") issued GBP250 million 6.064% secured bonds due 2039 on 21(st) December 2009 (ISIN: XS0474146288). The Company purchased GBP50 million in nominal amount of this bond issue on the issue date, for potential future sale (the "Reserve Bonds"). The bond trust deed entered into at the time of issue required that the Reserve Bonds be cancelled if not sold by a "Cancellation Date". The Company has today entered into a supplemental bond trust deed with the bond trustee which extends the Cancellation Date to 36 months after the issue date, i.e. to 21(st) December 2012. The Company will therefore continue to hold the Reserve Bonds for potential sale prior to the amended Cancellation Date. No other terms of the bond trust deed have been amended by the supplemental bond trust deed.
