Important Notice to Shareholders of

Xtrackers II EUR Corporate Bond UCITS ETF

(1C Share Class, ISIN: LU0478205379)

(the "Sub-Fund")

The Board of Directors of the Company hereby informs the shareholders of the Sub-Fund (the "Shareholders") about certain temporary reductions in the Management Company Fee (the "Changes"), as described below.

DWS Investment S.A., acting in its role as a management company, has agreed to waive part of the Management Company Fee for Share Class 1C (ISIN: LU0478205379) of the Sub-Fund (the "Share Class") from "up to 0.06%" per annum" to "0.02% per annum" for the period from 1 September 2019 until 31 August 2020, inclusive (the "Waiver Period"). The Fixed Fee will remain unchanged at "up to 0.10% per annum" during the Waiver Period. As a result, the All-in Fee of the Sub-Fund will be reduced to "up to 0.12% per annum" during the Waiver Period.

For the avoidance of doubt, the Management Company Fee for the Share Class will return to the usual charge of "up to 0.06% per annum" from 1 September 2020, inclusive. As a result, the All-in fee will return to the usual charge of "up to 0.16% per annum" from 1 September 2020.

For the avoidance of doubt, due to the temporary character of the Changes, neither the key investor information document of the Sub-Fund nor the Product Annex of the Sub-Fund will be amended.

Capitalised terms used herein shall have the meaning ascribed to them in the most recent version of the prospectus of the Company (the "Prospectus") and the Product Annex of the Sub-Fund unless the context otherwise requires.
