Item 1.02 Termination of Material Definitive Agreements.

1. Agreement to Terminate Investment Commitment Agreement with Saigon Silicon City JSC

On June 05, 2023, Philux Global Vietnam Investment and Development Co. Ltd., a subsidiary of Philux Global Group Inc. (f/k/a PHI Group, Inc.), and Saigon Silicon City JSC signed an Agreement to terminate the Investment Commitment Agreement previously entered into by the two parties on February 21, 2023 in its entirety.

The foregoing description of the Agreement to Terminate the referenced Investment Commitment Agreement is qualified in its entirety by reference to the full text of said Agreement, which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
