Holdings in the Company

Breedon has been informed by Abicad Holding Limited ("Abicad") that on 3 May 2023, Abicad agreed to acquire (i) 3,000,000 ordinary shares of no par value ("Ordinary Shares") in the issued share capital of Breedon at a price of 67.70 pence per Ordinary Share and (ii) 13,779,042 Ordinary Shares at a price of 68.00 pence per Ordinary Share (together, the "Transactions"). In aggregate, Abicad agreed to acquire 16,779,042 Ordinary Shares at a weighted average price of 67.95 pence per Ordinary Share. On settlement of the Transactions (expected on 5 May 2023), Abicad will hold 211,774,471 Ordinary Shares, equivalent to 12.50% of Breedon's total issued share capital.

As at today there are 1,694,428,520 Ordinary Shares in issue, none of which are held in treasury. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
