The Company and the Company’s accountant did
not provide all of the accounting information to the Company’s auditor in time to complete the auditor’s review of the financial
statements for the period ended September 30, 2022 on a timely basis, and believe that the subject Quarterly Report will be available
for filing on or before November 21, 2022.

The Company anticipates reporting a net loss of approximately
$52,408 for the three month period ended September 30, 2022 compared to a net loss of $134,945 for the three month period ended September
30, 2021.
