Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 21, 2020, having been advised of circumstances that would not be consistent with his service as a Board Member of a public company, Kip H. Allison informed the Company of his decision to resign from the Company’s Board of Directors and from all other positions held with the registrant and its subsidiaries, effective immediately.

 

Mr. Allison’s letter of resignation is included herewith as Exhibit 1.1.
