Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On February 25, 2025, Solo Brands, Inc. (the “Company”) was notified by the New York Stock Exchange (the “NYSE”) that the average closing price of the Company’s Class A common stock, par value $0.001 per share, over the prior consecutive 30 trading-day period was below $1.00, which is the minimum average closing price required to maintain listing on the NYSE under Section 802.01C of the NYSE Listed Company Manual.

Pursuant to Section 802.01C, the Company has a period of six months following receipt of the NYSE notice to regain compliance with the minimum share price requirement. In order to regain compliance, on the last trading day of any calendar month during the cure period, the Class A common stock must have (i) a closing price of at least $1.00 and (ii) an average closing price of at least $1.00 over the 30 trading-day period ending on the last trading day of such month. As required by the NYSE, the Company intends to respond timely to the NYSE with respect to its intent to cure the deficiency to regain compliance with the minimum share price requirement, which may include, if necessary, effecting a reverse stock split, subject to approval by the Board of Directors and stockholders of the Company.

The notice has no immediate impact on the listing of the Class A common stock, which will continue to be listed and traded on the NYSE during the six-month cure period, subject to the Company’s compliance with the other continued listing requirements of the NYSE. The Class A common stock will continue to trade on the NYSE under the symbol “DTC” but will have an added designation of “.BC” to indicate the Company is not in compliance with the NYSE’s continued listing standards.

The notice does not affect ongoing business operations of the Company or its reporting requirements with the Securities and Exchange Commission, nor does it trigger any violation of its debt obligations.

Solo Brands Receives Continued Listing Standard Notice from NYSE

Notice Has No Immediate Impact on the Listing or Trading of Solo Brands’ Class A Common Stock

GRAPEVINE, Texas – February 27, 2025 – Solo Brands, Inc. (NYSE: DTC) (the “Company”) today announced that on February 25, 2025, the Company received notice from the New York Stock Exchange (the “NYSE”) that it was not in compliance with the NYSE’s continued listing standards as a result of the average closing price of the Company’s Class A common stock being less than $1.00 per share over a consecutive 30 trading-day period.

In accordance with the NYSE rules, the Company has a period of six months following receipt of the NYSE notice to regain compliance with the minimum share price requirement. The NYSE rules require the Company to notify the NYSE within 10 business days of receiving the NYSE notice of its intent to cure this deficiency, which may include, if necessary, effecting a reverse stock split, subject to approval by the Board of Directors and stockholders of the Company.

Under the NYSE rules, the Company’s Class A common stock will continue to be listed and traded on the NYSE during the cure period, subject to the Company’s compliance with other continued listing requirements. The Company can regain compliance at any time during the cure period if on the last trading day of any calendar month during the cure period, its Class A common stock has a closing share price of at least $1.00 and an average closing share price of at least $1.00 over the 30 trading-day period ending on the last trading day of that month.

The NYSE notice does not affect the Company’s business operations or its reporting obligations with the Securities and Exchange Commission, nor does it trigger any violation of its debt obligations.
